IMPORTANT NOTICE

PLEASE READ THIS END-USER LICENCE AGREEMENT (“AGREEMENT”) CAREFULLY BEFORE INSTALLING, ACTIVATING, OR USING ANY BIM LEARNING PRODUCTS. BY INSTALLING, ACTIVATING, ACCESSING, OR USING THE SOFTWARE OR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT INSTALL, ACTIVATE, OR USE THE SOFTWARE OR SERVICES.

2. PARTIES AND DEFINITIONS

2.1 Parties

This Agreement is entered into between BIM Learning, a sole trader established in the United Kingdom (“Licensor”), and you, the individual or entity installing, activating, or using the Products (“Licensee” or “User”).

2.2 Definitions

  • “Products” means the BIM Learning website platform, software, Revit add-ins, plugins, scripts, custom software, and related materials, as described in Section 2.3.
  • “Software” means the downloadable, installable, or executable Products including Revit add-ins, desktop applications, and custom software licensed by BIM Learning.
  • “Website Services” means the BIM Learning website platform, web-based tools, training materials, documentation, and online services provided at https://www.bimlearning.co.uk and associated subdomains.
  • “Services” means support, updates, maintenance, training, and technical assistance related to the Products.
  • “Licensee” means the individual end user or authorized representative of an organization that has accepted this Agreement.
  • “Activation” means the online verification process or licence key system used to validate the Licensee’s right to use the Software.

2.3 Scope of Products Covered

This Agreement governs your use of:

  • (a) Website Services: The BIM Learning platform, training portal, documentation repository, and web-based tools accessible at https://www.bimlearning.co.uk;
  • (b) Software Products: Revit add-ins, plugins, scripts, desktop applications, and other downloadable or installable software provided by BIM Learning;
  • (c) Custom Software: Any custom-developed software, integrations, or bespoke solutions developed for or licensed by the Licensee under a separate statement of work or order confirmation;
  • (d) Updates and Derivatives: Any updates, patches, upgrades, or modified versions of the above provided during the subscription or licence term.

3. GRANT OF LICENCE

3.1 Licence Type

BIM Learning grants to the Licensee a non-exclusive, non-transferable, revocable licence to use the Products in accordance with this Agreement and any accompanying documentation, quotation, or order confirmation.

3.2 Subscription Term

Licences are granted on a subscription basis for a defined term (typically one year unless otherwise agreed in writing). Continued use of the Products after the subscription term requires renewal and payment of applicable fees.

3.3 Trial and Evaluation Versions

Trial or evaluation licences are provided solely for temporary evaluation and non-commercial use. Trial Products shall automatically expire at the end of the trial period and may include feature, functionality, or time limitations. Use of the Products beyond the trial period requires a valid paid subscription. BIM Learning reserves the right to disable trial access without notice upon expiration.

3.4 Scope of Use – Website Services

The Licensee may access and use the Website Services for their own internal business or professional purposes related to Building Information Modelling (BIM) and AEC industry workflows. Access is limited to the Licensee and any authorized team members or employees within the Licensee’s organization, provided they each accept this Agreement.

3.5 Scope of Use – Software Products

Each licence for Software Products may be installed on the number of workstations or machines specified in the Licensee’s order confirmation or subscription tier (typically one per authorized user). The Licensee may install the Software on one additional device for portable use while away from their primary work location, provided that:

  • The additional copy is accessed solely by the Licensee;
  • The additional copy is used solely for work performance and internal business purposes;
  • The primary and additional installations are not used simultaneously; and
  • The Licensee remains solely responsible for maintaining the security and confidentiality of the Software on all devices.

3.6 Scope of Use – Custom Software

If the Licensee has commissioned or licensed custom software under a separate statement of work (“SOW”), use is further restricted to the scope defined in that SOW. Custom software licences may have unique terms regarding deployment, user count, and derivative rights, as specified in the SOW.

3.7 Subscription Renewal

Access to the Products beyond the subscription term requires renewal and payment of applicable fees at the then-current rate. BIM Learning will provide notice of renewal requirements. Failure to renew will result in suspension or termination of the licence and loss of access to the Products.

3.8 No Transfer or Sharing

The Licensee may not distribute, lend, rent, lease, sell, sublicense, transfer, or otherwise make the Products available to any third party without prior written consent from BIM Learning. This includes sharing activation keys, machine fingerprints, credentials, or other licence identifiers with third parties.

3.9 Authorized Resellers and Partners

If the Licensee is an authorized reseller or partner of BIM Learning, use of the Products is further governed by a separate reseller or partner agreement. As a reseller or partner, you are responsible for ensuring that each end user agrees to and complies with the terms of this EULA, and you shall indemnify BIM Learning against any claims arising from your breach of reseller terms or your end users’ breach of this Agreement.


4. LICENCE RESTRICTIONS

4.1 Prohibited Activities

The Licensee shall not, and shall not permit others to:

  • (a) Reverse Engineer: Reverse engineer, decompile, disassemble, or attempt to derive or discover the source code, algorithms, or underlying structure of the Products;
  • (b) Modify or Create Derivatives: Modify, adapt, translate, or create derivative works, enhancements, or alterations based on the Products, except as expressly permitted in writing by BIM Learning;
  • (c) Circumvent Security: Circumvent, bypass, or disable any licence validation, activation, authentication, or security mechanisms, including machine fingerprinting systems;
  • (d) Unlawful Use: Use the Products in any manner contrary to applicable laws, regulations, or the terms of third-party services (including Autodesk’s licence terms and policies);
  • (e) Competitive Development: Use the Products for the purpose of developing, creating, or enhancing competing products, services, or functionality;
  • (f) Share Credentials: Share activation keys, licence credentials, machine fingerprints, authentication tokens, or other identifying information with third parties;
  • (g) Unauthorized Distribution: Copy, rent, lease, lend, sell, redistribute, or sublicense the Products except as expressly permitted in Section 3.9;
  • (h) Remove Notices: Remove, obscure, alter, or conceal any copyright notices, trademarks, proprietary markings, or other intellectual property designations on or within the Products;
  • (i) Mass or Commercial Use: Use the Products for any mass, batch, or commercial purpose, including resale, service bureau use, or providing access on a time-sharing basis without a separate commercial licence agreement.

4.2 Compliance with Third-Party Terms

The Software may integrate with, require, or operate in conjunction with third-party services, particularly Autodesk Revit. The Licensee agrees to comply with all applicable terms, conditions, and licence agreements of third parties, including Autodesk. BIM Learning is not responsible for changes made by third parties or loss of access to third-party services.

4.3 No Warranty of Compatibility

While BIM Learning endeavours to maintain compatibility with current and recent versions of Autodesk Revit and other platforms, BIM Learning makes no warranty that the Products will remain compatible following updates or changes to third-party software. The Licensee is responsible for ensuring compatibility with their environment.


5. INTELLECTUAL PROPERTY RIGHTS

5.1 Ownership

All intellectual property rights in and to the Products, including source code, object code, algorithms, user interfaces, visual design, documentation, names, trademarks, logos, and any derivative or updated versions, are and shall remain the exclusive property of BIM Learning or its licensors.

5.2 Limited Rights

The Licensee acquires no title, ownership, or rights in the Products beyond the limited, revocable licence expressly granted in Section 3. Any rights not expressly granted are reserved exclusively by BIM Learning.

5.3 Third-Party Components

The Products may contain third-party software components, libraries, code, or services licensed under separate licence terms (including open-source licences). The Licensee acknowledges that use of such components is subject to their respective licence agreements, which are incorporated by reference. A list of third-party components and their licences is available upon request or in the Products’ documentation. The Licensee agrees to comply with all applicable third-party licence terms.

5.4 User Content

If the Licensee uploads, submits, or creates content using the Products (such as BIM models, annotations, scripts, or configurations), the Licensee retains ownership of such content. However, by uploading or using such content within the Products, the Licensee grants BIM Learning a non-exclusive, royalty-free licence to use, reproduce, modify, and display such content solely for the purpose of providing the Products and Services and for non-identifying analytics and improvement purposes.

5.5 Feedback

Any feedback, suggestions, enhancement requests, or comments provided by the Licensee regarding the Products (“Feedback”) may be used by BIM Learning without restriction, attribution, or compensation. The Licensee agrees that BIM Learning owns all Feedback provided and may use it in developing future Products or Services.


6. SUBSCRIPTION, ACTIVATION, AND UPDATES

6.1 Activation and Licence Keys

Use of the Software requires activation through an online process, licence key, or cloud-based authentication. Activation keys and authentication credentials are confidential, personal to the Licensee, and may not be shared, transferred, or used by others. BIM Learning may disable, revoke, or block activation credentials at any time if misuse is detected or if the Licensee breaches this Agreement.

6.2 Online Services for Activation

Activation and ongoing licence validation may require periodic communication with BIM Learning’s servers. The Licensee consents to such communication and acknowledges that interruptions in internet connectivity may temporarily prevent use of the Software. BIM Learning is not responsible for service interruptions or denial of access due to network issues or third-party service failures.

6.3 Renewal and Payment

Licences renew annually on the anniversary of the original purchase date unless cancelled in writing. Renewal notices and invoices will be sent to the email address associated with the account. The Licensee is responsible for maintaining current contact and payment information. Failure to pay renewal fees will result in licence suspension or termination.

6.4 Updates, Patches, and Modifications

BIM Learning may provide updates, patches, bug fixes, or improvements from time to time. Such updates may be mandatory and may be applied automatically or require manual installation. Updates may modify, remove, or change features. Use of updated versions constitutes acceptance of any changes to functionality or terms. BIM Learning reserves the right to modify, discontinue, or sunset features or Products at its sole discretion, with reasonable notice where feasible.

6.5 No Guarantee of Availability

BIM Learning does not guarantee that any particular version of the Products will remain available indefinitely. Older versions may no longer be supported or downloadable. The Licensee is responsible for maintaining backup copies of compatible versions if required for their workflow.


7. INSTALLATION AND SYSTEM REQUIREMENTS

7.1 System Compatibility

The Licensee is responsible for ensuring that its hardware, software, operating system, network infrastructure, and Autodesk Revit (or other required third-party software) version meet the minimum compatibility and system requirements specified by BIM Learning in the Products’ documentation.

7.2 Administrative Privileges

The Software may require administrative or elevated privileges for installation, activation, or operation. The Licensee shall ensure they have proper authorization to grant such privileges on their system.

7.3 No Responsibility for Installation Issues

BIM Learning accepts no responsibility or liability for installation errors, conflicts with third-party applications, software incompatibilities, system crashes, performance degradation, data loss, or other issues arising from unsupported configurations, system failures, or the Licensee’s environment.

7.4 Performance and Support

BIM Learning provides the Products on an “as-is” basis. BIM Learning does not guarantee any particular performance, speed, stability, or functionality. The Licensee acknowledges that software of this nature may contain bugs or errors, and agrees that the existence of such shall not constitute a breach of this Agreement unless BIM Learning has expressly warranted otherwise in writing.


8. DATA COLLECTION AND PRIVACY

8.1 Limited Data Collection

The Products may collect limited technical data for legitimate operational and security purposes, including:

  • (a) Machine Identifiers: Machine fingerprints, hardware identifiers, and unique device identifiers;
  • (b) Operating Environment: Operating system version, Revit version, system RAM, GPU information, and installed plugin details;
  • (c) Usage Metrics: Feature usage patterns, command frequency, performance statistics, and error/crash reports;
  • (d) Activation Data: Activation status, licence validity, subscription status, and authentication events;
  • (e) Security Information: Attempted unauthorized access, suspected licence violations, and other security-related events.

8.2 Data NOT Collected

BIM Learning explicitly does NOT collect:

  • Design data, BIM models, or model content;
  • Project names, client information, or project metadata;
  • Personal project information, credentials, or sensitive business data;
  • File paths, file names, or internal project structures;
  • User credentials, passwords, or personal identifiable information beyond what is necessary for account management.

8.3 Privacy and Legal Basis

BIM Learning processes collected data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

Legal Bases for Processing:

We process your personal data under the following legal grounds:

  • Contractual Necessity: Processing necessary to provide the Products, manage your subscription, process payments, and fulfill our contractual obligations to you
  • Legitimate Interests: Processing for licence validation, anti-piracy measures, fraud prevention, security monitoring, system improvement, and analytics, where such interests are not overridden by your rights and freedoms
  • Consent: Where you have provided explicit consent for marketing communications or optional data collection features
  • Legal Obligation: Where processing is required to comply with accounting, tax, or other legal requirements

Data Controller: BIM Learning is the data controller for personal data collected through the Products.

8.4 Consent

By using the Products, the Licensee consents to the collection and processing of technical data as described in Section 8.1 for the purposes stated in Section 8.3. The Licensee acknowledges that refusal to allow such data collection may prevent the Products from functioning or being activated.

8.5 Data Retention and Deletion

BIM Learning retains technical data for the duration of the subscription term and for a reasonable period thereafter (typically up to 12 months) to support troubleshooting and anti-piracy efforts. Upon request and following proper verification, BIM Learning will delete personal data associated with a terminated licence, subject to legal retention obligations.

8.6 Data Sharing

BIM Learning does not sell or share technical data with third parties for marketing purposes. Data may be shared with service providers (cloud hosting, analytics, payment processors) under confidentiality agreements. Data may be disclosed if required by law, court order, or regulatory authority.

8.7 Privacy Policy

8.8 Your Data Protection Rights

Under UK GDPR, you have the following rights regarding your personal data:

  • Right of Access: Request a copy of the personal data we hold about you
  • Right to Rectification: Request correction of inaccurate or incomplete data
  • Right to Erasure: Request deletion of your personal data in certain circumstances
  • Right to Restrict Processing: Request that we limit how we use your data
  • Right to Data Portability: Request transfer of your data to another service provider in a structured, commonly used format
  • Right to Object: Object to processing based on legitimate interests
  • Right to Withdraw Consent: Withdraw consent at any time where processing is based on consent
  • Right to Lodge a Complaint: Lodge a complaint with the Information Commissioner’s Office (ICO) if you believe your data protection rights have been violated

We will respond to your request within one month, though this may be extended by two months for complex requests. We may request additional information to verify your identity before processing your request.

9. PROFESSIONAL RESPONSIBILITY AND RISK ACKNOWLEDGEMENT

9.1 Not a Substitute for Professional Judgment

The Licensee acknowledges that the Products are designed to assist in workflow automation, efficiency, and productivity within Building Information Modelling and AEC workflows. However, the Products are NOT a substitute for professional judgement, expertise, due diligence, quality assurance, or independent verification.

9.2 Licensee Responsibility

The Licensee remains solely and exclusively responsible for:

  • Verifying the accuracy, completeness, and suitability of all outputs, data, results, or derivatives generated by or with the Products;
  • Conducting appropriate quality checks, reviews, and validations before using any output in professional work or delivering to clients;
  • Understanding the limitations and potential errors inherent in automated workflows;
  • Maintaining professional standards, industry best practices, and applicable regulatory requirements in their use of the Products;
  • Backing up data, models, and work regularly to prevent loss due to software errors or system failures;
  • Ensuring compliance with all applicable laws, building codes, standards, and professional regulations relevant to their use case.

9.3 No Warranties on Accuracy

BIM Learning provides the Products “as is” and makes NO representation or warranty as to the accuracy, completeness, reliability, suitability, or fitness for a particular purpose of any output generated by the Products. The Licensee uses all outputs at their own risk and assumes all responsibility for the consequences of that use.

9.4 Professional Indemnity

If the Licensee is a professional (architect, engineer, consultant, etc.), the Licensee acknowledges that they should maintain appropriate professional indemnity or errors and omissions insurance. BIM Learning’s liability limitations in Section 11 do not relieve the Licensee of their own professional responsibilities or insurance obligations.

9.5 Use at Own Risk

The Licensee expressly agrees that the use of the Products is entirely at their own risk. The Licensee shall bear all responsibility, financial and otherwise, for the outcomes, consequences, and any losses arising from their use of the Products, including but not limited to incorrect outputs, corrupted files, design errors, productivity loss, or professional liability.


10. DISCLAIMER OF WARRANTIES

10.1 Express Disclaimer

To the maximum extent permitted by law, BIM Learning EXPRESSLY DISCLAIMS ALL WARRANTIES, whether express, implied, statutory, or otherwise, including without limitation:

  • Implied warranties of merchantability or fitness for a particular purpose;
  • Warranties of title, non-infringement, or absence of defects;
  • Warranties that the Products will be error-free, uninterrupted, or secure;
  • Warranties regarding compatibility with all hardware, software, configurations, or platforms;
  • Warranties that bugs or errors will not exist or will not materially affect functionality;
  • Any other warranty or representation except those expressly made in writing and signed by an authorized representative of BIM Learning.

10.2 Software Provided “As Is”

The Products, including all Software, Website Services, documentation, and Updates, are provided in their current condition “AS IS” and “AS AVAILABLE”. BIM Learning does not warrant that any version will be available indefinitely, that access will be uninterrupted, or that functionality will remain unchanged.

10.3 No Warranty of Performance

BIM Learning does not warrant any specific performance, processing speed, output quality, accuracy, or result. Performance may vary based on system configuration, Revit version, model complexity, and other factors beyond BIM Learning’s control.

10.4 Acknowledgment of Software Nature

The Licensee acknowledges that software of this nature inherently may contain bugs, errors, edge cases, or unintended behaviors. The Licensee agrees that the mere existence of bugs or errors shall not constitute a material breach of this Agreement, provided BIM Learning makes reasonable efforts to address critical issues affecting core functionality.

10.5 Statutory Consumer Rights

If you are a consumer (an individual purchasing for purposes outside your trade, business, craft, or profession), nothing in this Agreement affects your statutory rights under UK law, including but not limited to:

  • Rights under the Consumer Rights Act 2015, which provides that digital content must be of satisfactory quality, fit for purpose, and as described
  • Rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, including the right to cancel within 14 days of purchase (see Section 14.6)
  • Any other statutory rights that cannot be excluded or limited by contract

The disclaimers and limitations in this Section 10 apply to the fullest extent permitted by law, but do not exclude or limit liability that cannot lawfully be excluded or limited, including liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any other liability that cannot be excluded under UK law

For consumers: Where this Agreement attempts to exclude or limit statutory rights that cannot be excluded, those provisions shall not apply to you, and your statutory rights shall prevail.

For business users: The disclaimers in Sections 10.1-10.4 apply in full to the maximum extent permitted by law.


11. LIMITATION OF LIABILITY

11.1 Exclusion of Consequential Damages

To the fullest extent permitted by applicable law, BIM Learning shall NOT be liable for any indirect, incidental, consequential, exemplary, punitive, special, or economic damages, including but not limited to:

  • Loss of profits, revenue, or anticipated business opportunities;
  • Loss of data, work product, or corrupted files;
  • Business interruption or loss of productivity;
  • Loss of goodwill, reputation, or client relationships;
  • Any financial or economic loss of any kind;
  • Incorrect outputs or design errors in delivered work;
  • Third-party claims or liability arising from the Licensee’s use of the Products;

even if BIM Learning has been advised of the possibility of such damages.

11.2 Cap on Direct Liability

For Business Users:

BIM Learning’s total aggregate liability, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising out of or in connection with the Products, this Agreement, or the Licensee’s use thereof, shall NOT EXCEED the total fees paid by the Licensee to BIM Learning for the Products during the twelve (12) months immediately preceding the event giving rise to the claim.

For free trial or evaluation Products where no fees have been paid, BIM Learning’s liability is limited to £100 (one hundred pounds sterling).

For Consumers:

If you are a consumer, the above liability cap applies only to losses that are not foreseeable or are not a breach of our legal obligations to you. We do not exclude or limit our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Breach of your statutory rights under the Consumer Rights Act 2015
  • Any other liability that cannot lawfully be excluded or limited

Trial Version Liability:

For trial or evaluation versions that convert to a paid subscription, our liability during the trial period shall be limited to £100. Upon conversion to a paid subscription, liability for events occurring after conversion shall be calculated based on fees paid from the date of conversion.

11.3 Acknowledgment and Acceptance

The Licensee acknowledges and agrees that BIM Learning shall not be liable for any losses or damages of any kind arising from or related to:

  • The use of, reliance upon, or inability to use the Products;
  • Incorrect, incomplete, or corrupted outputs;
  • Design errors, computational errors, or failures in workflow automation;
  • System crashes, data loss, or corruption due to Software bugs or errors;
  • Third-party software, services, or platform changes (including Autodesk Revit updates);
  • Network interruptions, downtime, or unavailability of online services;
  • The Licensee’s failure to follow instructions, maintain backups, or use the Products properly;
  • Any other cause whatsoever, whether or not foreseeable.

11.4 Validity of Limitations

These liability limitations are a material term of this Agreement and fundamental to BIM Learning’s pricing of the Products. If any court or authority finds any limitation or exclusion invalid, such finding shall not invalidate the remaining limitations or affect their enforceability in other contexts.


12. HIGH-RISK USE RESTRICTION

12.1 Prohibition on Safety-Critical Applications

The Products are NOT designed, tested, or intended for use in any safety-critical environment, application, or system where failure, error, or inaccuracy could reasonably result in:

  • Death or serious injury to any person;
  • Loss of life or endangerment of public safety;
  • Significant property damage or environmental harm;
  • Failure of critical infrastructure or systems;
  • Any other outcome that could result in severe consequences.

12.2 Explicit Restriction

The Licensee agrees NOT to use the Products in such safety-critical contexts. Examples (non-exhaustive) include structural calculations without independent verification, life-safety system design without professional engineering review, or any use where software failure could have catastrophic consequences.

12.3 Acknowledgment of Risk

The Licensee acknowledges that any use in such contexts is entirely at their own risk and in clear violation of this Agreement. The Licensee assumes all liability for such use, and BIM Learning is released from and disclaims all liability for any harm, damages, or loss resulting from such unauthorized high-risk use.


13. CONFIDENTIALITY

13.1 Confidential Information

The Software, its activation system, licensing mechanisms, source code (if any source code is provided), technical documentation, algorithms, and related proprietary information are confidential and proprietary to BIM Learning.

13.2 Duty of Confidentiality

The Licensee shall maintain all confidential information in strict confidence and shall not disclose it to any third party without prior written consent from BIM Learning. This obligation applies regardless of whether information is marked as confidential and survives termination of this Agreement indefinitely.

13.3 Permitted Disclosure

The Licensee may disclose confidential information only to employees or authorized contractors who have a genuine need to know and who are bound by equivalent confidentiality obligations.

13.4 Exceptions

Confidentiality obligations do not apply to information that: (a) is already publicly available through no breach by the Licensee; (b) was rightfully known to the Licensee prior to disclosure; (c) is independently developed by the Licensee without reference to BIM Learning’s confidential information; or (d) is required to be disclosed by law, regulation, or court order (in which case the Licensee shall provide prompt notice to allow BIM Learning to seek protective measures).


14. TERMINATION

14.1 Termination by BIM Learning

BIM Learning may suspend, restrict, or terminate the Licence and the Licensee’s access to the Products immediately and without notice if:

  • The Licensee materially breaches any term of this Agreement and fails to cure within 14 days of written notice;
  • The Licensee fails to pay subscription fees or renewal charges within 30 days of due date;
  • The Licensee engages in unauthorized use, reverse engineering, or distribution of the Products;
  • The Licensee violates any applicable law or third-party licence terms in connection with the Products;
  • The Licensee uses the Products in a manner that harms, threatens, or compromises BIM Learning’s systems, reputation, or legal position;
  • The Licensee’s subscription term expires and is not renewed;
  • BIM Learning discontinues the Products or the Licensee’s particular tier of service.

14.2 Termination by Licensee

The Licensee may terminate this Agreement and discontinue use of the Products by:

  • (a) For Website Services and Software: Providing written notice to info@bimlearning.co.uk at least 30 days prior to the renewal date;
  • (b) For Custom Software: As specified in the applicable Statement of Work or separate termination agreement.

Upon such notice, the Licensee’s subscription shall terminate at the end of the current billing period, and no refund of prepaid fees shall be provided except as required by law.

14.3 Effect of Termination

Upon termination or expiration of this Agreement or any Product licence:

  • The Licensee’s rights to use the Products cease immediately;
  • The Licensee shall delete, destroy, or return all copies of the Software and related materials in their possession or control;
  • The Licensee shall cease accessing the Website Services;
  • Any data, settings, configurations, or content stored in the Products or Services may be deleted without recovery;
  • Sections 5 (Intellectual Property), 8 (Data Collection), 9 (Professional Responsibility), 10 (Warranties), 11 (Liability), 12 (High-Risk Use), 13 (Confidentiality), 15 (Export Compliance), and 18 (Governing Law) shall survive indefinitely;
  • The Licensee remains liable for any breach of this Agreement or any fees owed.

14.4 No Refund Upon Termination

Termination by the Licensee does not entitle the Licensee to a refund of subscription fees, even if the licence is terminated before the end of the subscription term, except as required by applicable consumer protection laws.

14.5 Survival

Termination of this Agreement shall not relieve the Licensee of any obligation to pay outstanding fees, damages, or indemnification amounts owed to BIM Learning.

14.6 Consumer Cancellation Rights (14-Day Cooling-Off Period)

If you are a consumer, you have the right to cancel this Agreement within 14 days of purchase without giving any reason, in accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

Cancellation Period: The 14-day cancellation period begins on the date of purchase or subscription activation, whichever is later.

How to Cancel: To exercise your right of cancellation, you must inform us of your decision by a clear statement sent to:

  • Email: info@bimlearning.co.uk
  • Subject line: “Cancellation Notice”
  • Include: Your name, order/invoice number, and date of purchase

Effect of Cancellation: If you cancel within the 14-day period, we will reimburse all payments received from you, including delivery/download charges (if any), without undue delay and no later than 14 days from the day we receive your cancellation notice. We will make the refund using the same payment method you used for the original transaction unless you expressly agree otherwise, and you will not incur any fees as a result of the refund.

Early Use Acknowledgement: By downloading, installing, or activating the Software before the end of the 14-day cancellation period, you expressly acknowledge that you are requesting immediate performance of the contract and that you will lose your right to cancel once you begin using the Software. If you use the Software and then cancel, we may deduct an amount proportional to the services provided up to the time you communicated your cancellation.

Business Users: If you are purchasing for business purposes, the 14-day cancellation right does not apply, and Section 14.2 governs your termination rights.


15. EXPORT COMPLIANCE

15.1 Export Controls

The Products may be subject to export controls, trade restrictions, sanctions, or embargoes under UK, EU, US, and other applicable laws and regulations. The Licensee agrees not to export, re-export, use, or transfer the Products to any countries, territories, individuals, or entities that are subject to export restrictions or sanctions, including:

  • Countries subject to comprehensive trade embargoes;
  • Individuals or entities listed on export blacklists or sanctions lists;
  • End uses in weapons development, military applications, or other restricted purposes;
  • Any use in violation of applicable export control laws.

15.2 Compliance Responsibility

The Licensee is solely responsible for ensuring that their use and possession of the Products complies with all applicable export control laws and regulations. BIM Learning is not responsible for the Licensee’s compliance with export laws.

15.3 Legal Consequences

Violation of export control laws may result in criminal and civil penalties. The Licensee acknowledges the serious legal consequences of export violations and agrees to comply strictly with all applicable laws.


16. SUPPORT AND TRAINING

16.1 Support Services

BIM Learning may offer support services (email support, knowledge base, community forums, or training) subject to separate terms and conditions. Support services are provided “as available” and do not guarantee resolution of issues or specific response times unless expressly agreed in a separate support agreement.

16.2 Support Limitations

BIM Learning is not obligated to provide support for:

  • Issues arising from unsupported Revit versions or systems;
  • Custom integrations, scripts, or modifications not provided by BIM Learning;
  • Issues related to third-party software, systems, or services;
  • Misuse or misunderstanding of the Products;
  • Issues caused by the Licensee’s breach of this Agreement.

16.3 Training and Services

Optional training, consulting, or professional services may be available for an additional fee. Such services are governed by separate agreements or statements of work, which take precedence over this EULA for matters within their scope.

17. INDEMNIFICATION

17.1 Licensee Indemnification

The Licensee shall indemnify, defend, and hold harmless BIM Learning, its officers, employees, agents, and representatives from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • The Licensee’s use or misuse of the Products;
  • The Licensee’s breach of this Agreement or applicable laws;
  • Any claim by a third party that the Licensee’s use of the Products infringes their rights or causes damage to them;
  • The Licensee’s design, data, content, or work product generated using the Products;
  • The Licensee’s professional work, deliverables, or services that rely on or incorporate the Products.

17.2 Defense

BIM Learning shall have the right to participate in the defense of any indemnified claim at the Licensee’s expense, and the Licensee shall not settle any claim without BIM Learning’s prior written consent.


18. GOVERNING LAW AND JURISDICTION

18.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

18.2 Jurisdiction and Venue

Any dispute, claim, or legal proceeding arising out of or in connection with this Agreement or the Products (including non-contractual disputes or claims) shall be subject to the exclusive jurisdiction of the courts of England and Wales. Both parties consent to the exclusive jurisdiction and venue of these courts and waive any objections to jurisdiction or venue.

18.3 Alternative Dispute Resolution

Before initiating court proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation. If negotiation fails, either party may pursue litigation in the courts of England and Wales as set forth in Section 18.2.

18.4 Severability

If any provision of this Agreement is found to be invalid, unenforceable, or contrary to law, such provision shall be modified to the minimum extent necessary to make it enforceable, or if that is not possible, shall be severed. The remaining provisions shall remain in full force and effect. If any severed provision is essential to the commercial purpose of this Agreement, either party may terminate this Agreement.


19. MISCELLANEOUS

19.1 Entire Agreement

This Agreement, together with any order confirmation, invoice, statement of work, or separate terms for custom software or reseller arrangements, constitutes the entire agreement between BIM Learning and the Licensee concerning the Products and supersedes all prior agreements, negotiations, understandings, and discussions, whether written or oral.

19.2 Order of Precedence

In the event of conflict between documents, the order of precedence is: (1) a separately executed SOW for custom software; (2) a separate reseller or partner agreement; (3) this EULA. Terms in earlier documents prevail over later ones.

19.3 Amendments and Updates

BIM Learning reserves the right to modify, amend, or update this EULA at any time. Updated versions will be published on the BIM Learning website at https://www.bimlearning.co.uk/end-user-licence-agreement or within the Software itself. BIM Learning will provide reasonable notice (typically 30 days) of material changes via email or in-app notification where feasible.

Continued use of the Products following the posting or notification of updated terms constitutes the Licensee’s acceptance of the revised EULA. If the Licensee does not agree to updated terms, the Licensee must cease using the Products immediately.

The Licensee is responsible for reviewing this EULA periodically to stay informed of any updates.

19.4 Notices

Any formal notices required under this Agreement shall be sent in writing to BIM Learning at the contact details below or to the Licensee at the address or email address associated with their account. Notices are deemed received upon delivery or, if sent by email, upon transmission.

19.5 No Waiver

Failure or delay by BIM Learning to enforce any right, provision, or remedy under this Agreement shall not constitute a waiver of that right, provision, or remedy. Any waiver must be in writing and signed by an authorized representative of BIM Learning.

19.6 Severability

If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

19.7 Assignment

The Licensee may not assign, delegate, or transfer this Agreement or any rights or obligations hereunder to any third party without prior written consent from BIM Learning. Any attempted assignment without consent shall be void. BIM Learning may assign its rights under this Agreement to a successor entity or acquirer.

19.8 Third-Party Beneficiaries

This Agreement is solely for the benefit of BIM Learning and the Licensee. No third party has any rights or claims under this Agreement.

19.9 Force Majeure

Neither party shall be liable for failure or delay in performing obligations under this Agreement caused by events beyond the reasonable control of that party, including acts of God, natural disasters, war, terrorism, pandemics, government actions, or critical infrastructure failures (“Force Majeure Event”). However, Force Majeure does not excuse payment obligations. If a Force Majeure Event prevents performance for more than 60 days, either party may terminate this Agreement upon written notice.

19.10 Counterparts

This Agreement may be accepted in counterparts (electronic, written, or otherwise), each of which shall constitute an original and all of which together shall constitute one and the same instrument.

21. ACKNOWLEDGMENT

BY INSTALLING, ACTIVATING, OR USING THE PRODUCTS, THE LICENSEE ACKNOWLEDGES THAT THEY HAVE:

  1. Read and understood this entire EULA;
  2. Had the opportunity to seek legal counsel;
  3. Agreed to be bound by all terms and conditions;
  4. Acknowledged the limitations of liability and disclaimers;
  5. Accepted all risks associated with use of the Products;
  6. Confirmed they are not using the Products in any safety-critical or prohibited application;
  7. Consented to data collection and privacy practices described herein.
